Your same-owner share move is not automatically a taxable sale, but Canadian departure tax or a legal-title transfer of qualifying U.S. ESPP shares can create a separate tax event.

“I transferred my company ESPP shares from my Canadian Fidelity account to my US Fidelity account via a 'platform transfer' after the 2-year holding period. What are the tax implications in the US and Canada, and how do I report this when filing taxes? I have no other Canadian income this year.”

摘要

You do not owe tax simply because one Fidelity account says “Canada” and the other says “U.S.” The important checks are whether anything was sold or legally transferred, and whether you had already left Canada for tax purposes.

The answer forks on when you stopped being Canadian-resident, whether the shares or their legal title actually changed hands, and whether the plan qualifies under U.S. ESPP rules.

Only the account changedno sale

If you retained , no shares were sold, legal title did not change, and you did not leave Canada this year, the account move itself is not the share sale to report. Keep the shares’ original tax records for a later sale; moving them does not ordinarily create a new U.S. . You left Canada in 2026departure year

Assess Canada’s as of your actual departure date, separately from the Fidelity move; report a covered deemed gain on the departure-year return using Form T1243. An eligible person can elect under treaty Article XIII(7), following IRS Revenue Procedure 2010-19, to coordinate the U.S. basis with the Canadian deemed-sale value; the procedure has net-gain, all-covered-property, and timely first-U.S.-return/Form 8833 conditions. Shares were sold or legal title movedactual event

Report an actual sale under the applicable residence and source rules. For a qualifying U.S. ESPP, a legal-title transfer can itself be a statutory , even without a cash sale; a qualifying disposition can produce compensation income as well as capital gain. A U.S.-resident filer reports an actual capital-asset sale on Form 8949 and Schedule D, with adjusted for compensation already included in income. [26 U.S.C. §424(c)](https://uscode.house.gov/view.xhtml?edition=prelim&req=granuleid%3AUSC-prelim-title26-section424); [IRS Publication 525](https://www.irs.gov/publications/p525); [Form 8949 instructions](https://www.irs.gov/instructions/i8949)

You remained Canadian-residentstill resident

If you were still Canadian-resident, Canada requires your worldwide income for that period, including a taxable share sale or employee benefit if one occurred. If there was only an unchanged-ownership move, do not invent a Canadian capital gain from the move; separately assess Form T1135 if your foreign property exceeds its threshold. A Canadian Fidelity account, a U.S. Fidelity account, and two years of holding do not establish your tax residence or prove a qualifying U.S. ESPP disposition.

Watch out for

Two years may not be enoughFor a qualifying U.S. employee stock purchase plan (ESPP), favorable holding-period treatment requires both two years after the option was granted and one year after the shares were transferred to you. Two years since purchase alone does not establish that you qualify. [IRS Publication 525](https://www.irs.gov/publications/p525)
A platform move could change legal titleCanada generally excludes a transfer with no change in from a disposition. U.S. statutory ESPP rules also count a transfer of *legal title* as a . A confirmation showing that you still own the shares does not, by itself, settle whether their legal title changed; a sale of any fractional shares is a separate transaction. [Canada Income Tax Act §248(1)(e)](https://laws-lois.justice.gc.ca/eng/acts/i-3.3/section-248.html); [26 U.S.C. §424(c)](https://uscode.house.gov/view.xhtml?edition=prelim&req=granuleid%3AUSC-prelim-title26-section424)
Leaving Canada has its own tax eventIf you ceased to be a Canadian in 2026, Canada may treat covered shares as sold at market value *when you left*, even if the later Fidelity move sold nothing. A limited exception can apply to property owned when you last became resident, or subsequently inherited, if you were resident for no more than 60 months in the preceding 10 years; shares bought afterward do not meet that description merely because your stay was short. [CRA, Dispositions of property](https://www.canada.ca/en/revenue-agency/services/tax/international-non-residents/individuals-leaving-entering-canada-non-residents/dispositions-property.html)
No other Canadian income is not a blanket exemptionA Canadian-source employee share benefit related to work performed in Canada can still require reporting after you leave. A later share sale can also raise a Canadian question if the shares are ; the account’s location does not answer either question. [CRA, Non-residents and income tax](https://www.canada.ca/en/revenue-agency/services/forms-publications/publications/t4058/non-residents-income-tax.html)
Moving the account does not erase its earlier reportingIf you were a U.S. person while the Canadian account was open, its value before the move still counts toward that year’s foreign-account thresholds. If you were Canadian-resident during part of the year, qualifying foreign-company shares can count toward Form T1135 even while held at a Canadian broker. [IRS, FBAR](https://www.irs.gov/businesses/small-businesses-self-employed/report-of-foreign-bank-and-financial-accounts-fbar); [CRA, Form T1135 questions and answers](https://www.canada.ca/en/revenue-agency/services/tax/international-non-residents/information-been-moved/foreign-reporting/questions-answers-about-form-t1135.html)

Work through the events in date order before entering a sale or changing the shares’ tax basis.

Before preparing either return

Reconstruct what Fidelity transferred

Match the share count before and after the platform transfer and identify any sale proceeds. Determine whether this was only a change in recordkeeping or also a change in legal title: U.S. ESPP law expressly includes a legal-title transfer in its disposition definition, while Canadian law excludes a transfer without changed beneficial ownership. [26 U.S.C. §424(c)](https://uscode.house.gov/view.xhtml?edition=prelim&req=granuleid%3AUSC-prelim-title26-section424); [Income Tax Act §248(1)(e)](https://laws-lois.justice.gc.ca/eng/acts/i-3.3/section-248.html)

条件要求

Canadian and U.S. account statements and transfer confirmation
Share-lot history, including any cash paid for fractional shares
ESPP grant, purchase, and share-registration records

Use the departure date, not the platform-transfer date

Place your Canadian departure in the right tax year

If you ceased Canadian residence in 2026, assess the deemed disposition at the shares’ fair market value on the departure date, including the short-residence property exception. If you departed in an earlier year, that earlier year—not this transfer year—is the year to examine for departure tax. [CRA, Dispositions of property](https://www.canada.ca/en/revenue-agency/services/tax/international-non-residents/individuals-leaving-entering-canada-non-residents/dispositions-property.html)

条件要求

Date Canadian tax residence ended
Fair market value and tax cost of shares on that date
Dates you first became and ceased to be Canadian-resident

For the applicable Canadian tax year

Complete the Canadian filing that applies

If departure created a deemed gain, calculate it on Form T1243 with the departure-year Canadian return. Form T1161 generally applies when the fair market value of property owned on departure exceeds C$25,000, subject to its exclusions, and can be due even without a return. If you instead have Canadian-source employee share benefits after departure, report them on line 10100 of the applicable Canadian return; having no *other* Canadian income does not remove that item. The usual Canadian individual filing date is April 30 after the tax year. 条件要求

Departure-date valuations and Canadian-dollar amounts, if you left in 2026
Any T4 or other record of a Canadian-work-related share benefit
Value and type of all property owned at departure

On the relevant U.S. federal return

Prepare the U.S. share entries and any treaty election

If you are a U.S. tax resident, report applicable worldwide income. Use Form 8949 and Schedule D for an actual reportable share sale, not solely because shares changed accounts; do not count compensation already taxed twice in the share . Test ESPP qualification using two years from grant *and* one year from share transfer. If Canada taxed a departure deemed sale and you meet Revenue Procedure 2010-19’s conditions, make the Article XIII(7) election on your timely first U.S. return ending after the residence change and attach Form 8833; it is not an automatic arrival-date basis increase. Convert reportable foreign-currency items into U.S. dollars at the applicable exchange rate. [IRS Publication 525](https://www.irs.gov/publications/p525); [Form 8949 instructions](https://www.irs.gov/instructions/i8949); [IRS Revenue Procedure 2010-19](https://www.irs.gov/pub/irs-drop/rp-10-19.pdf); [IRS currency guidance](https://www.irs.gov/individuals/international-taxpayers/foreign-currency-and-currency-exchange-rates)

条件要求

Dates of ESPP grant, purchase, and any disposition
Purchase price, compensation already taxed, and proceeds from any actual sale
Canadian departure-tax calculation, if applicable

Even if the account is now in the U.S.

Test foreign-account and foreign-property disclosures

If you were a U.S. person and combined foreign-account values exceeded US$10,000 at any time in 2026, file the separate electronic FinCEN Form 114 (FBAR) by April 15, 2027, with an automatic extension to October 15, 2027. Separately test Form 8938 with your U.S. return: for an unmarried person living in the U.S., its thresholds are more than US$50,000 at year-end or US$75,000 at any time; filing-status and residence thresholds differ. If Canadian-resident for part of 2026 and the total cost of specified foreign property exceeded C$100,000, assess Form T1135 for the resident period; foreign-company shares may count even in a Canadian brokerage account. [IRS, FBAR](https://www.irs.gov/businesses/small-businesses-self-employed/report-of-foreign-bank-and-financial-accounts-fbar); [Form 8938 instructions](https://www.irs.gov/instructions/i8938); [CRA, Form T1135 questions and answers](https://www.canada.ca/en/revenue-agency/services/tax/international-non-residents/information-been-moved/foreign-reporting/questions-answers-about-form-t1135.html)
